About these terms

These Terms and Conditions apply to your use of codeblockdigital.com and to any services you buy from CodeBlock Digital Solutions, a sole proprietorship owned by Varun Jyoti Baruah at 730 Rodali Bhawan, Rasendra Nagar, Macharhat, Jorhat - 785001, Assam, India ("CodeBlock", "we", "us"). By using this website or accepting a proposal from us, you agree to these terms. If a signed proposal, statement of work, or contract says something different, that document wins for that project.

Using this website

• You may browse, read, and share links to this website for lawful purposes.
• Do not copy large parts of the site, scrape it at a scale that affects performance, try to break its security, or send spam through the contact form.
• Content here is general information about our services. It is not a promise of a specific result for your business.

Our services

We offer web development, SEO strategy, and related digital marketing services. The exact scope, deliverables, timeline, and price for your project will be set out in a written proposal or statement of work (SOW) that you accept by email or signature. Work outside that scope is quoted separately.

Quotes, invoices, and payment

• Quotes are valid for 30 days unless the proposal says otherwise.
• We invoice in Indian rupees (INR) for clients in India and in US dollars (USD) for international clients, unless agreed otherwise.
• Payment schedules (advance, milestones, or monthly) are stated in your proposal. Invoices are due within the period stated on them.
• Applicable taxes are added where required by law.
• If a payment is more than 15 days late, we may pause work until it is cleared, after telling you in writing.

Your responsibilities

To do good work we need timely access and input. You agree to:

• Give us the access we need (for example your website, hosting, Google Search Console, Google Analytics, or Google Business Profile)
• Provide accurate information and approve content or designs within a reasonable time
• Make sure anything you give us (logos, photos, text, data) is yours to use or properly licensed
• Keep backups of your own website and data before major changes, unless backups are part of our agreed scope

Delays caused by missing access or late feedback may move the timeline.

SEO results

Search engines and AI tools decide rankings and citations using factors no one outside those companies controls. We will use our best professional effort and follow search engine guidelines, but we do not guarantee any specific ranking, traffic level, number of leads, or revenue. Past results shown on this website, including our case studies, do not guarantee future results for your site.

We do not use tactics that break Google's spam policies, such as private blog networks, hidden text, or bought reviews.

Ownership of work

• Once you have paid in full, you own the final deliverables made specifically for you: website code and design, written content, and reports.
• We keep ownership of our own tools, templates, scripts, and know-how that existed before your project or were not made only for you. You receive a permanent license to use any of these that are built into your deliverables.
• Third-party items (fonts, stock photos, plugins, software) stay under their own licenses.
• We may mention that we worked with you, and show non-confidential results, in our portfolio or case studies. If you would rather we did not, tell us in writing and we will keep your name private, as we do for several current clients.

Confidentiality

We keep your business information, logins, and data confidential and use them only to deliver your project. Any freelancer we bring in is held to the same standard. This duty continues after the project ends.

Third-party services

Projects often depend on services we do not control, such as hosting, domain registrars, Google tools, or link-building vendors. We are not responsible for their outages, policy changes, or price changes, but we will help you work around problems where we can.

Ending an engagement

• Monthly services can be stopped by either side with 15 days' written notice, unless your proposal sets a different minimum term.
• Fixed-price projects can be stopped by either side in writing. You pay for work completed up to that point, as set out in our Refund and Cancellation Policy.
• We may end an engagement immediately if you ask us to do something unlawful or against search engine policies, or if invoices remain unpaid after written reminders.

Limitation of liability

To the extent the law allows, our total liability to you for any claim related to a project is limited to the fees you paid us for that project (or, for monthly services, the fees paid in the three months before the claim). We are not liable for indirect losses such as lost profits, lost data, or lost business opportunities, including losses caused by search engine algorithm changes.

Indemnity

You agree to cover us against claims arising from content, materials, or instructions you provide that infringe someone else's rights or break the law.

Events outside our control

Neither side is responsible for delays caused by events beyond reasonable control, such as natural disasters, internet or power outages, or government action. We will keep you informed and resume as soon as possible.

Governing law and disputes

These terms are governed by the laws of India. We will always try to resolve a disagreement by talking first. If that does not work within 30 days, the courts at Jorhat, Assam will have exclusive jurisdiction.

Changes to these terms

We may update these terms from time to time. The version on this page on the date you accept a proposal applies to that project.
